1. Acceptance of Terms

By accessing or using the services, solutions, software, or website provided by VisionCore Ai (“we,” “us,” “our”), you (“Client,” “you,” “your”) agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you must not use our services.


2. Services Provided

VisionCore Ai provides AI-powered automation services, including but not limited to:

- Appointment reminders and SMS communication

- AI chatbots (sales, upsell, down-sell, customer service)

- Pipeline creation and management

- Calendar booking integrations

- Lead nurturing and follow-up automation

- Custom AI and workflow automation solutions

The scope of services may be defined further in a written proposal, order form, or Service Agreement signed between VisionCore Ai and the Client.


3. Client Responsibilities

Clients agree to:

- Provide accurate and complete information required to implement services.

- Ensure compliance with all applicable local, state, and federal regulations in their industry (e.g., HIPAA for healthcare, state/federal compliance for cannabis, financial regulations, etc.).

- Maintain necessary licenses, permits, and legal authorizations to operate their business.

- Use VisionCore Ai services only for lawful business purposes.


4. Fees and Payment

- Fees are outlined in the Client’s selected pricing model (performance-based, retainer, hybrid, or custom).

- Payment terms will be defined in the invoice or agreement. Late payments may incur interest charges or service suspension.

- All fees are non-refundable unless otherwise specified in writing.


5. Performance Disclaimer

While VisionCore Ai’s services are designed to optimize sales, leads, and automation, we do not guarantee specific business outcomes such as sales volume, revenue growth, or conversion rates. Success depends on multiple factors, including Client’s industry, market conditions, and sales process.


6. Intellectual Property

- VisionCore Ai retains ownership of all proprietary software, workflows, AI models, and automation templates created or provided.

- Clients may receive a license to use these solutions during the term of the agreement but may not resell, replicate, or distribute them without written consent.

- Any content, data, or branding provided by the Client remains the Client’s property.


7. Data Protection and Privacy

- VisionCore Ai respects user privacy and handles data in compliance with our Privacy Policy.

- Clients are responsible for ensuring they have obtained proper consent from their customers before using our services for outreach (e.g., SMS, email, AI chatbots).

- A Data Processing Agreement (DPA) may be executed per client or niche as required by law (e.g., GDPR, HIPAA, financial regulations).


8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. Confidential information shall not be disclosed to third parties without written consent, except as required by law.


9. Limitation of Liability

- VisionCore Ai shall not be liable for indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services.

- Liability, if any, will be limited to the amount paid by the Client in the last three (3) months prior to the claim.


10. Termination

- Either party may terminate services with written notice (typically 30 days unless otherwise agreed).

- VisionCore Ai reserves the right to suspend or terminate services for non-payment, breach of terms, or unlawful use.

- Upon termination, the Client must immediately cease use of VisionCore Ai’s proprietary systems.


11. Industry-Specific Compliance

- VisionCore Ai works with diverse industries, including: Dentistry, Automotive, Solar, Cleaning Services, Real Estate, Aesthetic Clinics, Cannabis Dispensaries, Insurance Companies, and Finance Institutes.

- Clients remain solely responsible for ensuring compliance with their industry’s applicable regulations.

- VisionCore Ai may provide compliance support where feasible, but does not assume legal liability for industry-specific requirements.


12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which VisionCore Ai operates, without regard to conflict of law principles.


13. Modifications

VisionCore Ai reserves the right to modify these Terms at any time. Updates will be posted on our Website with a revised “Effective Date.” Continued use of services constitutes acceptance of the modified Terms.
